The convertible offering comes as total debt exceeds $35 billion.
On 17 September 2026, CoreWeave announced plans to sell $3 billion of convertible senior notes due in 2033. The offering includes an option for buyers to purchase an additional $500 million, which would bring the total capital raised to $3.5 billion.
The company stated that part of the proceeds will fund capped-call transactions to reduce potential share dilution from the convertible notes. CoreWeave plans to use the remaining funds for general corporate purposes as it expands computing capacity.
The new financing adds to an already heavy balance sheet. In its most recent quarterly filing, CoreWeave disclosed $27.56 billion in long-term debt and $7.51 billion in short-term debt, pushing total debt past $35 billion before this proposed offering.
Demand for artificial intelligence capacity has driven fast growth at CoreWeave, which recently deployed a multi-rack Nvidia Vera Rubin cluster into production. The final interest rate and conversion terms will show the pricing conditions investors require to finance its infrastructure buildout.
