The company issued common shares to extinguish convertible senior notes.
Tilray Brands retired 6,000,000 dollars in aggregate principal amount of its Convertible Senior Notes through a private exchange on 4 August 2026. The company disclosed the unregistered transaction in a regulatory filing.
In exchange for extinguishing the debt, Tilray issued 1,377,334 shares of common stock. The newly issued shares carry a par value of 0.0001 dollars per share.
The transaction follows earlier debt-for-equity swaps conducted by the cannabis and consumer goods company. On 24 June 2026, Tilray retired 12,000,000 dollars in convertible senior notes by issuing 2,638,341 common shares. Earlier that month, on 3 June 2026, the company reported retiring 6,000,000 dollars in notes in exchange for 1,214,186 common shares.
Tilray also used its equity earlier in the year for business expansion. On 15 April 2026, the company issued 398,666 common shares as partial consideration for the acquisition of Lyphe Group.
