Azzas 2154 announced on October 8, 2026, that board members Nicola Calicchio Neto and Edison Ticle de Andrade Melo e Souza Filho have resigned with immediate effect. Calicchio Neto stepped down as an effective board member and left his positions on the Strategy and Integration committee and the People, Remuneration, and Sustainability committee. Edison Ticle resigned from his seat as a director.

On the same date, the board approved the election of Rafael Sachete da Silva and Gabriel Silva Lobo Leite as new effective members until the company's next general meeting. Sachete was nominated by Bloco Birman, while Lobo Leite was nominated by Bloco Grupo Soma. Sachete has served since March 2026 as vice president of finance at Assaí after 22 years at Azzas, where he served as chief financial, corporate, and investor relations officer. Lobo Leite served as CFO and IRO at Vitru Educação between August 2024 and October 2026, following work at Grupo SOMA between 2017 and 2024 in finance and investor relations.

The board changes take place during the group's corporate split, originally announced on September 2. The plan separates Azzas 2154 into two independent, publicly listed companies: Arezzo&Co, led by Bloco Birman, and SOMA, led by Bloco Jatahy. A separate company will hold the Farm brand and its extensions, including Farm Brasil, Farm Internacional, and Fábula, owned 57.4% by Arezzo&Co and 42.6% by SOMA.

Upon completion of the reorganization, Bloco Jatahy will hold 25.95% of SOMA. Bloco Birman will hold 32.13% of Arezzo&Co and retain 6.18% of SOMA. Other shareholders will hold 67.87% in each of the two newly independent companies. The transaction remains subject to customary closing conditions.
