The Brazilian fashion group clarifies that no binding proposal exists for the brand.
Azzas 2154 S.A. confirmed contacts with potential parties interested in its brand Farm Rio on 8 September 2026. In a clarification notice sent to the Brazilian Securities and Exchange Commission (CVM), the company stated that no binding proposal exists.
Media reports had cited estimated market valuations of 1.0 billion USD for Farm Rio as of 3 September 2026. Additional press reports on 8 September 2026 indicated that shareholders were evaluating an expected bid range between 600 million USD and 700 million USD. Azzas 2154 has not confirmed any official valuation or deal size.
The inquiries follow a corporate reorganization plan disclosed on 2 September 2026. Under that structure, Arezzo&Co was allocated a 57.4% equity stake in the dedicated Farm Rio holding entity, while Grupo Soma was allocated 42.6%.
Farm Rio generated reported gross revenue of 3.4 billion BRL during full-year 2025. International sales accounted for 1.3 billion BRL of that total.
