The $180 million takeover still requires clearance from the Federal Reserve.
Banco de Crédito del Perú, the banking subsidiary of financial holding Credicorp, obtained a final order of approval from the Florida Office of Financial Regulation to acquire 100% of the shares of Helm Bank USA and take control of the institution. BCP disclosed the regulatory decision on Wednesday 16 September 2026 to Peru's securities regulator, the Superintendencia del Mercado de Valores.
The transaction was first announced in December 2025 with an agreed purchase price of $180 million, subject to customary adjustments at closing. BCP will execute the acquisition and hold the shares through two specially created entities, Orange Perú Holding S.A. and Orange Financial Holding Inc.
Despite clearing the state regulator in Florida, the transaction still requires approval from the United States Federal Reserve alongside standard closing conditions. Peru's banking supervisor, the Superintendencia de Banca, Seguros y AFP, granted its own approval for BCP to purchase 100% of the bank on 6 May 2026.
Florida-based Helm Bank USA operates as a community bank. As of 30 September 2025, Credicorp reported that Helm Bank USA held $1,141 million in assets and recorded a net worth of $106.8 million.
