The board approved the 11th issuance in up to two series to optimise capital structure and boost working capital.
Vibra Energia approved the issuance of up to BRL 1.4 billion in simple, non-convertible, unsecured debentures. The decision was taken by the board of directors on 4 September 2026. The transaction will represent the company's 11th debenture issuance and may be carried out in up to two series.
The offer will be public and aimed at professional investors under the automatic distribution registration procedure. The debentures will have a seven-year maturity from the issuance date. The total volume, the number of series, and the final allocation will be determined after the bookbuilding process concludes.
The first series will be paid up through the surrender in payment of debentures from Vibra Energia's fourth and fifth issuances, generating no new local-currency cash proceeds. Older notes not used in this payment may be subject to early redemption, optional acquisition, or an early redemption offer under their respective indentures.
Proceeds raised from the second series will fund working capital and general corporate purposes. Vibra Energia stated that the issuance aligns with its strategy to evaluate fundraising alternatives to optimize its capital structure and finance corporate projects.
