The utility gets unconditional clearance to buy the remaining 35.39% stake in Transnorte Energia.
Axia Energia Norte secured clearance from the General Superintendence of Brazil's Administrative Council for Economic Defense to take full control of Transnorte Energia. The antitrust regulator published its unconditional approval in the official gazette on 3 September 2026.
Axia Energia already owns a 64.61% stake in Transnorte Energia. Under the terms of the transaction, Axia will acquire the remaining 35.39% equity stake from Alupar Investimento to become the sole shareholder.
The clearance from the General Superintendence is not yet definitive. A member of Cade's administrative tribunal could still request a full review, and third parties have the option to file appeals.
National Electric Energy Agency Aneel granted regulatory approval in August 2026 for the transfer of direct corporate control to Axia Energia Norte. Transnorte Energia is a public power transmission concessionaire, and the parties have up to 120 days from an order dated 10 August to close the transaction.
