The amendment adds Jaime Gilinski Bacal as a permitted holder ahead of a Venezuela oil deal.
GeoPark Limited announced on September 23, 2026, that it received the required consents from holders of its 8.750% senior notes due 2030. The majority approval amends the indenture definition of permitted holders to include Jaime Gilinski Bacal, his immediate family members, heirs, and affiliates.
The change prevents triggering a change of control clause, which would otherwise require GeoPark to offer to repurchase the notes. Grupo Gilinski recently acquired approximately 28% of GeoPark common shares. GeoPark is also acquiring Grupo Gilinski's 95% interest in the holding company that holds the Bare heavy oil field in Venezuela in exchange for new shares, which will raise Grupo Gilinski's stake to approximately 56.3% upon closing.
GeoPark plans to execute a supplemental indenture on September 29, 2026. Noteholders who delivered valid consents before 5:00 p.m. New York City time on September 23, 2026, will receive a cash consent fee of $2.50 per $1,000 principal amount on September 29, 2026, when the amendment becomes operative.
