Investors back the share reserve expansion to 78 million shares at the annual meeting
Nike shareholders voted to approve an amendment to the company Employee Stock Purchase Plan during the annual meeting held on 8 September 2026. The approval authorizes an additional 16,000,000 Class B common shares for issuance, lifting the total reserve under the plan from 62,000,000 shares to 78,000,000 shares.
The measure passed with 1,081,095,618 votes in favor, while 5,127,600 votes opposed it and 1,818,374 abstained. Nike reported the formal voting tallies in a regulatory filing submitted to the SEC.
Shareholders also supported executive compensation on an advisory basis, casting 736,936,017 votes in favor, 349,508,277 against, and recording 1,597,298 abstentions. Meanwhile, the ratification of PricewaterhouseCoopers LLP as independent auditor secured 1,175,590,556 votes in favor against 58,924,987 opposed.
In board elections, Class A director nominees received 280,747,848 votes each with 0 votes withheld, while Class B director nominee Thasunda Duckett received 496,775,961 votes. Two outside shareholder proposals failed to pass. A proposal on charitable support reporting received 7,363,988 votes in favor and 1,073,903,174 against. A proposal on environmental targets drew 110,862,692 votes in favor and 935,451,481 votes against.
