Regulators requested more details on the $22 billion deal after political tensions flared.
Roku received requests for additional information from the US Department of Justice on 8 September regarding its pending 22 billion dollar sale to Fox Corp. Both companies stated in 9 September filings with the US Securities and Exchange Commission that they expected the outreach and plan to cooperate with regulators.
Fox announced in June plans to acquire the San José-based streaming platform and hardware seller. The transaction would give Fox access to Roku's 100 million households. Both companies anticipate completing the merger in the first half of 2027, subject to regulatory and shareholder approvals.
The antitrust inquiry followed public remarks by President Donald Trump criticizing Fox after the network ousted anchor Maria Bartiromo. Associate Attorney General Stanley Woodward stated that the department cannot comment on pending matters but affirmed that it prioritizes affordability across the economy.
Legal experts noted that secondary inquiries are common in major media transactions and do not necessarily indicate an impending challenge. Analysts observed that Roku and Fox have complementary businesses rather than dominant positions in the streaming industry.
