Antitrust regulators issue a Second Request on the $22 billion acquisition bid.
Roku confirmed that it received a Second Request from the US Department of Justice regarding its planned takeover by Fox. The regulatory demand extends the antitrust review of the $22 billion transaction under the Hart-Scott-Rodino Act.
Under the terms of the merger agreement, Fox agreed to acquire Roku for $160 per share. The offer consists of $96.00 in cash and 0.97 shares of Fox Class A common stock for each Roku share.
On 8 September 2026, the companies detailed the inquiry in a regulatory filing. The issuance of the Second Request extends the statutory waiting period until 30 days after both companies certify substantial compliance with the request.
Roku shares declined 2% in extended trading on 8 September 2026 following initial reports of the widening federal inquiry.
