The move follows the pending acquisition of the media company by Paramount Skydance.
Warner Bros. Discovery announced on September 25, 2026, that it plans to voluntarily delist two series of euro-denominated senior notes from The Nasdaq Global Market. The decision is tied to the pending acquisition of the media company by Paramount Skydance Corporation, which remains subject to customary closing conditions.
The securities affected are the 4.302% senior notes due 2030 and the 4.693% senior notes due 2033. Both were issued by Discovery Global Holdings, a wholly owned subsidiary, and are fully guaranteed by Warner Bros. Discovery and certain subsidiaries. The company stated that the delisting and subsequent deregistration under the Securities Exchange Act will not alter the terms of the notes.
The company plans to file a Form 25 notification with the U.S. Securities and Exchange Commission on or around October 6, 2026. The delisting will take effect 10 days after that filing, at which point the notes will cease trading on Nasdaq Global. Warner Bros. Discovery reserves the right to delay the filing for any reason.
Following the removal, Warner Bros. Discovery intends to file Form 15 to terminate registration and suspend reporting obligations for the debt. Neither Warner Bros. Discovery nor Paramount Skydance has arranged to list or quote the notes on any other exchange or trading platform.
