Cade approves $100M American Airlines investment in Azul
The US carrier will take an approximate 8% stake through subscription warrants.
Brazil's antitrust agency Cade approved the acquisition of an approximate 8% minority stake in
Azul by American Airlines for $100 million. The transaction is part of the Brazilian airline's financial restructuring under Chapter 11 in the United States.
The transaction will take place through the exercise of series 1 and series 4 subscription warrants. According to a relevant fact filing from Azul, American Airlines is expected to hold approximately 8% of the total and voting capital of the carrier.
The approval requires full compliance with a merger control agreement. The agreement establishes enforceable safeguards concerning corporate governance and access to competitively sensitive information. Any future increase in American Airlines' stake, voting rights, governance prerogatives, or influence over Azul will require prior review by Cade.
Cade evaluated competitive impacts on overlapping routes between Brazil and the United States, concluding that the deal does not constitute a merger or remove a competitor. In July, Cade's General Superintendence determined that the investment did not harm competition and would bolster Azul's capacity in the domestic market.
The $100 million injection is part of a broader recapitalization package. In February, Azul announced that American Airlines and United Airlines each committed $100 million, bringing in $200 million in fresh capital. United's investment was structured as a public share offering, while American's contribution relied on subscription warrants requiring Brazilian antitrust approval.
Azul completed its financial restructuring and exited Chapter 11 in February. At the time, the airline reported cutting approximately $2.5 billion in debt and aircraft lease obligations, alongside $950 million in capital contribution commitments.
