Cumulative payments to its research institute triggered a mandatory disclosure under Brazilian rules.
Itaú Unibanco disclosed a related-party transaction involving research and development services provided by the Instituto Itaú de Ciência, Tecnologia e Inovação. The institute is a private association founded by the banking group.
The entity operates under a master agreement signed on July 19, 2023 to develop prototypes, research new technologies, and provide innovation consulting for the bank. On August 31, 2026, cumulative invoiced amounts for these services passed R$50 million. This milestone triggered mandatory disclosure under Brazilian securities rules.
Management noted that project pricing reflects cost and complexity in line with its related-party policy. A committee composed entirely of independent directors approved the contracts without involvement from institute representatives in the bank's decisions.
