OranjeBTC grants stock options at R$ 15.72 per share

The exercise price sits about 96.3% above the recent reference price of R$ 8.01.

OranjeBTC formalised the first grant of stock options under its executive long-term incentive programme on 6 October 2026. The option was sold to an executive who owned no shares in the company on the grant date and allows the purchase of up to 880,000 common shares.

The strike price was set at R$ 15.72 per share. That level stands approximately 96.3% above the reference price of R$ 8.01 recorded on 5 October 2026.

Vesting will take place progressively on a monthly basis until 30 September 2027. Subject to programme conditions, the options can be exercised until 30 September 2030.

OranjeBTC stated that the options will not be counted in its fully diluted management share count while its market price remains below R$ 15.72. They will enter that count once the share price reaches or exceeds the strike price, though the company noted that this internal rule does not change accounting or regulatory standards. Shareholders approved the long-term incentive plan in April 2026, and the board of directors approved the first executive options programme in May 2026.
