Robinhood Markets shares rose 6% on Thursday, 17 September 2026. The move followed guidance from the Securities and Exchange Commission permitting digital versions of securities to trade in the United States.
The SEC introduced the Innovation Exemption after the Clarity Act failed to advance in a Senate vote on Tuesday. The initiative sets a five-year plan allowing tokenized stocks to trade through designated venues, following the launch of the regulator's Project Crypto over a year ago.
Under the Securities Exchange Act of 1934, the guidance grants two forms of temporary and conditional exemptive relief. It exempts Tokenized Securities Venues from the definition of exchange, and it exempts specific liquidity providers from the definition of dealer. The Commission noted this temporary relief allows tokenized stock trading while it considers further regulatory measures.
SEC Chairman Paul S. Atkins stated the exemption marks a significant step forward within statutory authority to bring capital markets into the digital age by facilitating onchain trading of certain tokenized stocks.
The framework establishes investor protection conditions. Tokenized Securities Venues must be United States entities complying with sanctions from the Office of Foreign Assets Control, and they must limit trading to qualified participants. Tokenized shares must preserve traditional shareholder rights such as dividends and voting, while issuers may object to and block the trading of their securities on these venues. Despite the rollout, industry participants noted that a future administration could reverse the guidance without formal legislation.
