Unitá proposes tender offer to take Unifique private
The controlling shareholder offers 6.00 Brazilian reais per share to exit B3's Novo Mercado segment.
Brazilian telecommunications provider Unifique announced on Friday, October 2, that its controlling shareholder, Unitá Participações, plans to launch a tender offer to take the company private. The operation aims to acquire all outstanding common shares and exit the Novo Mercado listing segment of the B3 exchange.
The proposed offer price is 6.00 Brazilian reais per common share. That price compares with an independent appraisal report that valued the company's common stock at 5.42 Brazilian reais per share.
The transaction also involves converting Unifique's registration with the Brazilian Securities and Exchange Commission, the CVM, from Category A to Category B, which will end the trading of its shares on regulated markets. Shareholders have a deadline of 15 calendar days from the disclosure to request a new appraisal report if they choose.
