Americanas announced the completion of the second partial closing of the sale of Hortifruti Natural da Terra assets in the state of São Paulo to Grupo Fartura de Hortifrut, owner of Oba Hortifruti. This step transferred the possession and operational assets of the fourth out of ten loss-making stores covered by the agreement.
The transaction was announced in May 2026 and sets a total price of BRL 69.3 million for all assets involved. According to a filing released on Monday night, September 21, Oba Hortifruti paid BRL 627,698.55 in this stage, representing 6.038% of the cash installment scheduled for this partial closing.
M&A cost deductions were applied under the judicial recovery plan, and the remaining proceeds were placed in an escrow account for the extraordinary amortization of the 22nd debenture issuance of Americanas. The remaining balance for this stage will be paid in 24 equal, consecutive monthly installments due on the 15th of each month, adjusted by the positive variation of the CDI rate.
The company continues its efforts to exit the judicial recovery process it entered in 2023. In an interview with Money Times, CEO Fernando Soares and CFO Sebastien Durchon noted that while the petition to exit was filed ahead of schedule at the end of March 2026, the resolution still awaits a court decision expected later in 2026.
