The holder of a 4.93% stake nominated a seven-member slate and requested a shareholder meeting.
Oncoclínicas is reviewing a request from shareholder UBS Lumen to call a shareholder meeting to remove and replace its board of directors. The healthcare company stated in a communication that it has not yet deliberated on the matter. It noted that the request received on September 24 remains under evaluation and must be answered within eight days.
UBS Lumen stated that it recognizes the quality of the current Oncoclínicas board and its members. However, the fund argued that a restructuring is necessary to reflect the new shareholding structure and the challenges the company faces.
The fund nominated a slate of seven members: Marcelo Curti, Hélio Paulo Ferraz, Antonio Claudio Correa Leite Buchaul, Lourival Antunes Maciel, Claudio Marcelo Schmidt Rehder, Dante Iacovone, and José Maria Junqueira Sampaio Meirelles. UBS Lumen holds 55,966,951 common shares of Oncoclínicas, representing 4.93% of the total shares outstanding.
